About Mark

Mark Holmes’ practice focuses on energy finance and capital structure transactions with an emphasis on the upstream and midstream segments of the energy industry. He represents public and private companies, private equity funds and banks in all types of secured and unsecured debt and equity investments, including reserve based loans, common and preferred equity investments, joint ventures, acquisition financings, project financings and construction loans, workouts, restructurings and DIP financings, letter of credit facilities, term loan B financings, asset based loans and structured commodity arrangements.

Recognized by The Legal 500 United States (2017-2018) and Woodward/White, Inc.’s Best Lawyers (2018 - 2019), Mark regularly represents and counsels companies in connection with acquisitions and divestitures, commercial contracts, corporate governance matters, and commodity, interest and f/x hedging arrangements.

HPS Investment Partners, LLC — project financing of a midstream joint venture project, which featured a combination of preferred equity and senior holdco notes

WaterBridge Resources — $800 million revolving, term loan A and delayed draw credit facilities

Privately-held midstream company — $1 billion revolving credit facility in connection with the acquisition of midstream assets in New Mexico

Denham-backed upstream company — $750 million reserve based revolving credit facility

Old World Industries — $150 million asset based loan and $50 million second lien term loan

Denham-backed upstream company — senior unsecured bridge acquisition facility for the acquisition of oil and gas reserves in Louisiana

JPMorgan Chase Bank, N.A. — $500 million reserve based loan to Rosehill Resources

JPMorgan Chase Bank, N.A. — $300 million reserve based loan to private equity-backed E&P company

Wells Fargo Bank, N.A. — $1.75 billion revolving credit facility to Tallgrass Energy Partners, LP, a publicly traded, master limited partnership

Wells Fargo Bank, N.A. — $125 million revolving credit facility to a private equity-backed midstream company with assets located in the Eagle Ford Shale

Cadence Bank, N.A. — $180 million revolving credit facility to a midstream portfolio company of EnCap Flatrock

JPMorgan Chase Bank, N.A. — $150 million revolving credit facility and term loan A to private equity-backed pipeline manufacturing company

Société Générale — $40 million asset based loan to a privately held privately-owned company that transports and markets crude oil and condensate

HPS Investments Partners, LLC — $350 million recapitalization of High Mesa, Inc. through a combination of convertible preferred stock and senior notes

Freeport-McMoRan Oil & Gas, LLC — $5.3 billion acquisition financing (revolver, term loan A and term loan B) of Gulf of Mexico interests from BP and Shell, with acquisition financing also including senior unsecured loans in an aggregate principal amount of up to $2 billion pursuant to a new senior unsecured bridge credit facility

Sysco Corporation — implementing its commodity, interest and fx trading programs, including advising with respect to Dodd Frank and EMIR compliance matters, and its debt and treasury management policies

CEU Holdings, LLC — out-of-court workout of its $70 million first lien reserve based facility

Linc USA GP — financial restructuring of up to $125 million of first lien debt, including a $10 million debtor-in-possession financing
