Thomas W. Adkins has represented the buyer or the seller in the acquisition of more than 150 privately held companies and several publicly held companies, for purchase prices ranging from less than $100,000 to more than $1 billion. He represents companies and other parties involved in business transactions, including acquisitions and dispositions of publicly and privately held businesses and public and private securities offerings. As the former chair of Bracewell's corporate and securities practice, Tom has advised a diverse set of clients, including public companies and boards of directors on securities and disclosure requirements, and corporate governance and compliance matters, including the rules of the New York Stock Exchange and Nasdaq. His securities offerings experience includes private placements, initial public offerings, follow-on public equity offerings, secondary offerings and convertible debt offerings.
Tom’s practice includes a focus on energy and retail business transactions. He regularly represents one of the five largest U.S. banks in energy transactions and one of the best-known e-commerce retailers in the U.S. in corporate and securities matters.
