About Tamara

Tamara McKinzie represents commercial clients in the energy, retail, office, financial healthcare and renewable power sectors with the acquisition, development, financing and divestiture of real estate projects. Her experience includes drafting and negotiation of complex commercial lease and purchase and sale contracts, as well as project finance and construction agreements. Tamara routinely advises investors, developers and utilities on the structuring of mixed use, multifamily and industrial transactions and resolving issues related to zoning and other land use restrictions. She also advises other counsel in portfolio purchases, joint venture agreements and secured and unsecured credit transactions. 

Tamara has also represented borrowers and lenders in both commercial and consumer transactions, including the preparation and negotiation of loan agreements, security instruments, and disclosures required by both state and federal law.

Recent Notable Matters

Equinor — real estate counsel in the negotiation of purchase and sales agreements and conditional grant agreements with the New York State Energy Research and Development Authority (NYSERDA) in support of the 1,260 MW Empire Wind 2 and the 1,230 MW Beacon Wind projects

Halcón Resources Corporation — $325 million divestiture of water infrastructure assets across the Delaware Basin to a subsidiary of WaterBridge Resources LLC

Global Infrastructure Partners — majority position in a preferred equity investment of up to $250 million in Caprock Midstream to fund the expansion of Caprock’s natural gas gathering and processing assets in the Permian Basin. Advised client regarding real estate interests in the assets, negotiated relevant terms in transaction documents, and secured all necessary items necessary for clean title to the real estate assets.

Alinda Capital Partners — sale of NorTex Midstream Partners, LLC, a company owned by funds managed by Alinda that own Texas gas storage facilities, to a subsidiary of Castleton Commodities International LLC.  Advised client regarding the real estate interests and negotiated relevant terms in transaction documents.
