About Luke

Luke Tanner focuses his practice on serving clients in the energy industry. He works on a variety of energy-related matters, including upstream and midstream oil and gas transactions, energy financing and the development of energy projects.

Luke has experience in oil and gas land management, ranging from field work to asset management. While in law school, he worked as a landman for the Lower 48 asset team of an FTSE 100 company based in Houston. In addition, Luke has experience working in-house as upstream counsel at a large independent exploration and production company, where he was the principal legal contact for the business development group on all upstream transactions.

Sable Offshore Corp. — purchase from Exxon Mobil Corporation of the Santa Ynez field in Federal waters offshore California and associated onshore processing and pipeline assets, including pipeline assets acquired by Exxon Mobil from Plains Pipeline L.P. and the proposed merger with Flame Acquisition Corp., a special purpose acquisition entity

Apache Corporation — $805 million minerals divestiture of primarily non-operated properties across west Texas and southeast New Mexico in the Delaware Basin

Bison Oil & Gas Partners II, LLC — $300 million total cash divestiture DJ Basin operator to Civitas Resources, Inc., which was restructured from stock and cash consideration prior to closing

Oaktree Capital Management — joint acquisition of upstream oil and gas assets in Oklahoma Mid-Continent region with Diversified Energy Company from Tapstone Energy Holdings and a related party*

Andros Capital Partners — $150 million Permian Basin drilling joint venture*

Lime Rock Partners and its portfolio company Axis Energy Services — acquisition, as a stalking horse bidder, of substantially all of Basic Energy’s well servicing and completion and remedial segment assets*

Laredo Petroleum — $715 million acquisition of Midland Basin assets from Sabalo Energy (and a non-operating partner), the acquisition involved consideration consisting of both cash and Laredo common stock*

Concho Resources Inc. — as in-house counsel, in its $925 million disposition of New Mexico Shelf Assets to Spur Energy Partners LLC*

Concho Resources Inc. — as in-house counsel, in a multi-county asset trade with a large integrated oil company*

Concho Resources Inc. — as in-house counsel, in its $290 million asset disposition to multiple private buyers*

Parsley Energy Inc. — $2.8 billion acquisition of certain entities holding undeveloped acreage and producing oil and gas properties in the core of the Midland Basin from Double Eagle Energy Permian LLC and certain of its affiliates consisting of approximately $1.4 billion in cash and approximately 39.8 million units of Parsley Energy

Private equity-backed portfolio company — sale of an undivided 20% non-operated position in its Delaware Basin assets for approximately $143 million along with the negotiation of a joint operating agreement with extensive joint development mechanics

Castleton Commodities International LLC — acquisition of over 160,000 net acres of leasehold and midstream assets in East Texas for more than $1 billion from subsidiaries of Anadarko Petroleum Corporation for properties in the Cotton Valley, liquids-rich Middle Bossier and Haynesville shales and related midstream assets including a high-pressure gathering system and water and condensate infrastructure system that collectively consisted of over 750 miles of pipeline

Independent oil and natural gas exploration and production company — acquisition of Clayton Williams Energy, Inc. for $2.7 billion in stock and cash

Private equity-backed portfolio company — purchase of approximately 13,045 net acres in the Delaware Basin for approximately $350 million from four separate sellers

Empyrean Energy PLC — sale of its approximate 3 percent working interest in the Sugarloaf AMI Prospect in Karnes County, Texas (approximately 24,000 gross acres), to Carrier Energy Partners II, LLC for approximately $61.5 million plus certain contingency payments

Tall City Exploration LLC — agreement with Moss Creek Resources, LLC to sell its Howard and Borden county assets in Texas for $803 million

Pioneer Natural Resources Company — acquisition of 28,000 acres in the Midland Basin from Devon Energy Corporation for $435 million

Independent oil and natural gas exploration and production company — exchange of approximately 25,000 net acres in the DJ Basin with PDC Energy for $270 million

Independent oil and natural gas exploration and production company — divestiture of Wattenberg Field assets in the DJ Basin for $505 million to Synergy Resources

Private equity portfolio company — series of acquisitions of oil properties in the Gulf Coast region
