Kathy Medford advises and represents business clients on securities matters, corporate finance and general corporate transactions. With a primary focus on capital markets, she represents issuers and underwriters in public and private offerings of equity securities, high-yield debt securities and investment-grade debt securities.
Kathy advises clients on Securities and Exchange Commission (SEC) reporting and disclosure obligations and other corporate governance and compliance matters. She also assists public and private clients with mergers, acquisitions and commercial transactions.

PPL Electric Utilities Corporation — $250 million offering of first mortgage bonds
DTE Energy Company — underwriters’ counsel in offering of $230 million of junior subordinated debentures
Duquesne Light Holdings, Inc. — initial purchasers’ counsel in 144A offering of $350 million of senior notes
Crédit Agricole Corporate and Investment Bank — as agent to the lenders in the $2.44 billion letter of credit facility and approximately $544 million in funded debt for McDermott International in the successfully completed emergence from bankruptcy
Textron Inc. — public offering of $650 million of its notes in March 2020
Crédit Agricole — $2.8 billion financing facility in prepackaged Chapter 11 restructuring transaction for McDermott International, as agent to revolving debtor-in-possession (DIP) lenders
DTE Energy — represented the underwriters in three separate public offerings by DTE Energy Company of $2.4 billion of equity and debt securities, including $1.3 billion aggregate amount of equity units, 2.7 million shares of common stock and $800 million aggregate principal amount of senior notes
Apache Corporation — represented Apache in its offering of $600 million in aggregate principal amount of 4.250% notes due 2030 and $400 million in aggregate principal amount of 5.350% notes due 2049 in an underwritten public offering
Altus Midstream Company and Altus Midstream LP — issuance of $625 million of preferred equity in a private placement
Global Infrastructure Partners — preferred equity investment of up to $200 million in Dos Rios Crude Intermediate LLC, a subsidiary of Noble Midstream Partners LP formed to hold Noble Midstream’s 30 percent equity interest in the EPIC Crude Pipeline, which is being designed with an initial capacity of 590 MBbl/d from the Permian Basin and Eagle Ford to the Gulf Coast
Tallgrass Energy Partners, LP — representing the Conflicts Committee of the Board of Directors of the General Partner of Tallgrass Energy Partners, LP (TEP) in the merger agreement between Tallgrass Energy GP, LP (TEGP) and TEP, in which TEGP will acquire all TEP common units held by the public
Lillis Energy, Inc. — three separate transactions consisting of a three-year $50 million credit facility; acquisition of 2,798 net acres located in the Delaware Basin from OneEnergy Partners, LLC; and a preferred stock issuance
