Gregory M. Bopp Named a 2015 Dealmaker of the Year by The American Lawyer

HOUSTON – Bracewell & Giuliani LLP Partner Gregory M. Bopp was named a 2015 Dealmaker of the Year by The American Lawyer, in the Complex M&A category, for his role in a transaction on behalf of Kinder Morgan Inc.

Bopp was Bracewell’s lead lawyer in representing Kinder Morgan, Inc. in the acquisition of the outstanding public equity of Kinder Morgan Energy Partners, L.P., Kinder Morgan Management, LLC, and El Paso Pipeline Partners, L.P. for approximately $76 billion in total transaction value. He was responsible for all aspects of the corporate and tax structuring of the three public company mergers. The completion of the transaction marked the second largest energy deal in history and the largest ever in the MLP space. It also established the largest midstream company in North America.

The overall transaction was an acquisition of three public companies, two of which were MLPs. All of these matters needed to close at the same time, with tax considerations being paramount to each transaction. Bopp was able to draw upon his years of familiarity with the Kinder Morgan structure – having represented them as lead outside counsel since 1997 – as well as his experience in MLPs to provide a variety of structure alternatives for consideration.

The deal was also recognized as Houston Business Journal’s “Deal of the Year” in the energy category.
