Bracewell Represents the Conflicts Committee of General Partner of Western Refining Logistics, LP in Connection with Acquisition of TexNew Mex Pipeline and Crude Oil Storage Tank

HOUSTON Bracewell represented the Conflicts Committee of the general partner of Western Refining Logistics, LP (NYSE: WNRL), a master limited partnership headquartered in El Paso, Texas, in its acquisition from its sponsor, Western Refining, Inc. (NYSE: WNR), of an approximately 375 mile portion of the TexNew Mex Pipeline between Star Lake, New Mexico in the Four Corners region and T Station in Eddy County, New Mexico and an 80,000 barrel capacity crude oil storage tank in Star Lake, New Mexico.  The primary consideration for the assets consisted of $180 million in cash and common units of WNRL.  WNRL also issued to WNR a new class of WNRL partnership units in connection with the acquisition.
