Bracewell Represents Tallgrass Energy Partners in Acquisition of Interest in Rockies Express Pipeline

HOUSTON – Bracewell LLP advised the Conflicts Committee of the Board of Directors of the general partner of Tallgrass Energy Partners, LP (TEP) in the acquisition of a 25 percent membership interest in Rockies Express Pipeline LLC (REX) from a unit of Sempra U.S. Gas and Power (Sempra) for cash consideration of approximately $440 million. Tallgrass Development, LP (TDev), an affiliate of TEP, previously entered into a purchase agreement with Sempra to acquire the interest in REX. TDev then assigned its rights and obligations under the purchase agreement to TEP.
