Bracewell Represents Evercore Partners in Spectra Energy Partners’ Acquisition of Interest in Maritimes & Northeast Pipeline, L.L.C.

Bracewell & Giuliani LLP represented Evercore Partners, advisor to the Conflicts Committee of the Board of Directors of Spectra Energy Partners GP, LLC, the general partner of Spectra Energy Partners, LP, regarding the acquisition of a 38.76% interest in Maritimes & Northeast Pipeline, L.L.C. (M&N US) by Spectra Energy Partners, LP from Spectra Energy Corp. Spectra Energy Partners, LP acquired the interest in M&N US for approximately $319 million in cash and approximately $56 million in newly issued partnership units. M&N US has debt outstanding of $439 million, 38.76% of which is $170 million.
