Bracewell Represents the Conflicts Committee of General Partner of Western Refining Logistics, LP in Connection with Acquisition of TexNew Mex Pipeline and Crude Oil Storage Tank
HOUSTON – Bracewell represented the Conflicts Committee of the general partner of Western Refining Logistics, LP (NYSE: WNRL), a master limited partnership headquartered in El Paso, Texas, in its acquisition from its sponsor, Western Refining, Inc. (NYSE: WNR), of an approximately 375 mile portion of the TexNew Mex Pipeline between Star Lake, New Mexico in the Four Corners region and T Station in Eddy County, New Mexico and an 80,000 barrel capacity crude oil storage tank in Star Lake, New Mexico. The primary consideration for the assets consisted of $180 million in cash and common units of WNRL. WNRL also issued to WNR a new class of WNRL partnership units in connection with the acquisition.
