Bracewell & Giuliani LLP is pleased to announce the election of six attorneys to the partnership. The new partners are Rebecca L. Baker, Brad Y. Chin, Emily E. Leitch, Blair R. Loocke, Michael  W. Tankersley and Herman “Trevor” H. Wommack.

Dallas

Tankersley provides advisory and transactional services to public and private companies, financial institutions, boards, management and investors. He assists clients with SEC compliance and reporting, corporate governance matters, mergers and acquisitions, internal investigations, debt restructurings and distressed asset sales in and out of bankruptcy proceedings. Tankersley has represented issuers and underwriters in connection with initial and secondary public offerings of debt and equity securities and 144A and Regulation D private offerings, as well as proxy contests, tender offers and going-private transactions.In 2007, Tankersley was appointed by President George W. Bush, and confirmed by the U.S. Senate, as the first Inspector General of the Export-Import Bank of the United States.

Houston

Baker counsels and represents employers in all areas of employment law. She represents employers involved in federal and state court litigation and advises and represents them with respect to administrative claims. In addition to litigation, she works with management clients to draft employment policies and employee handbooks and to address issues related to the hiring, retention and termination of employees.

Chin is an intellectual property attorney, focusing on patent and trademark prosecution, client counseling, licensing, and technology transfer. Chin prosecutes patents in the chemical, electrical, and mechanical arts for U.S. and international clients. He also represents clients in intellectual property litigation matters before state and federal courts. Chin has experience prosecuting ex parte and inter parte reexaminations, assisting angel-funded companies develop IP asset management strategies, preparing invalidity and non-infringement opinions, drafting and negotiating licensing agreements, and conducting due diligence.

Leitch advises and represents business clients on securities matters, corporate finance and general corporate transactions. With a primary focus on capital markets, she represents issuers and underwriters in public and private offerings of equity securities, high-yield debt securities and investment-grade debt securities. Leitch provides legal counsel on issues relating to corporate governance, including SEC and stock exchange initiatives, compliance with reporting and disclosure obligations, and the fiduciary duties of boards of directors. She also assists clients with business mergers, acquisitions and commercial transactions within the United States and internationally.

Loocke is a trial lawyer focused on matters arising in the energy industry, prosecuting mass torts and disputes involving alleged violations of securities laws. She also assists clients in responding to government investigations and special inquiries, including representing natural gas trading/marketing firms in investigations by and enforcement actions before the Federal Energy Regulatory Commission and representing commodities traders before the Commodity Futures Trading Commission.

Wommack focuses his practice on syndicated lending in the energy space, particularly in the area of upstream exploration and production reserve-based financings. His experience includes representing foreign and domestic lending institutions as administrative agents in connection with upstream, midstream and energy services credit facilities, including revolving loans, term loans, letter of credit facilities, swingline facilities, and bank guarantee facilities.
