As M&A activity accelerates, the risks and potential impact on transactions have grown under the new Administration. Federal and state antitrust authorities have sought to block numerous M&A transactions - including the first litigated challenge to a "vertical" merger in over 40 years. Meanwhile, the Committee on Foreign Investment in the United States (CFIUS) has stopped several foreign acquisitions of American companies on national security grounds.
